TERMS & CONDITIONS OF HYPERLIGHT OPTICS SHOP
I. GENERAL PROVISIONS
1. These Terms of Use describe the terms and conditions applicable to your access and use of the Websites made available by the Services Provider which relate to the Hyperlight Optics Shop.

3. These Terms & Conditions (hereinafter: T&C) define the types, scope and conditions of services provided online in the Sites including the Shop by Zepter INTL Poland.
4. The User is obliged to use the Sites in accordance with these T&C and Applicable Law. It is prohibited to post any illegal content in the Sites by Users.
5. By accessing and use of the Sites and/or Services, the User agrees to accept and be bound by the T&C. The User should not access or use the Services or the Sites if the User does not accept all of the T&C.
6. The User may not access or use the Services or the Sites and may not accept the Terms if (a) you are not of legal age to form a binding Agreement with Services Provider, or (b) you are not permitted to receive any Services under the laws of some countries/regions including the country/region in which you are resident or from which you access and use the Services and the Sites.
7. Zepter INTL Poland is a controller of personal data processed in connection with the services provided according with these T&C. Personal data are processed for the purposes, to the extent and on the bases indicated in the Privacy Policy and applicable data protection laws (GDPR and, where applicable, CCPA/CPRA).
II. DEFINITIONS

III. THE SERVICES – GENERAL PROVISIONS
1. Zepter INTL Poland makes the T&C available to the User before the conclusion of the Agreement for free, also at their request, in a manner that allows obtaining, reproducing and recording the content of these T&C using the IT system used by the User.
2. The Service Provider provides the User with the following Services within the Sites:
1) Account;
2) Order without logging into Account;
3) Newsletter;
4) Contact Form.
3. In order to the User to use the Sites, it is necessary for the User to have:
· a device with an active access to the Internet, which ensures data transmission and, a web browser of User's choice (e.g. Chrome, etc. - the latest version is recommended) to be installed. The browser must have cookies and Javascript enabled,
· active e-mail – if the User wants to subscribe to Newsletter or use the registration or contact form,
· active phone number – in order to submit the Order in the Shop.
4. Zepter INTL Poland informs that the Sites use cookies that are saved on the User's device. The Sites use various types of cookies. User can change or withdraw consent to cookies any time by clicking on the mark in the lower left corner of the website. Cookies are used for the purposes indicated in the Cookies Policy. Detailed rules for the use of cookies by the Sites can be found in the Cookies Policy.
IV. ACCOUNT
1. The Agreement between the User and Zepter INTL Poland is made upon creation of the Account.
2. In order to create the Account, the User needs to provide his e-mail.
3. The User receives an email with Logging Code which makes possible to log in to the Account.
4. The Agreement is concluded for an indefinite period, free of charge. Its termination takes place upon deletion of the Account. The User can delete the Account upon sending such request to the Service Provider’s e-mail support@hyperlightoptics.com.
5. During the registration process, the User is obliged to provide their true data, read and accept these T&C and read Privacy Policy.
V. ORDER WITHOUT LOGGING IN
1. The Order without logging in is provided for the purpose of placing an Order without the need to log into the Account.
2. In order to use the Service Order without logging in, the Customer must provide the following data: first name, last name, city, postal code, street, house and apartment number (if applicable), e-mail address, contact telephone number.
3. The Service is a one-time service and is provided free of charge. The provision of the Service ends when the Order is delivered by the Seller or when the Customer stops placing the Order.
VI. NEWSLETTER
1. The User may subscribe to the Newsletter by submitting its e-mail address in the in the box dedicated to signing up for the Newsletter.
2. The Agreement on Newsletter is concluded for an indefinite period. Consent to receive Newsletter can be withdrawn at any time, without giving a reason by sending information to the Seller, e.g. by e-mail to the following address: support@hyperlightoptics.com or by clicking on the resignation link from the Newsletter placed in its content. The use of the Newsletter is free of charge.
VII. CONTACT FORM
1. The Contact Form Service is provided by the Service Provider free of charge.
2. The Agreement is concluded when the User clicks on the "Send message" button (link), after correctly completing the Contact Form by providing required data, the inquiry and respective consents.
3. The Agreement for provision of the Contact Form Service is concluded for a fixed period and is terminated when the Service Provider provides an answer to the User's inquiry that was submitted via the Contact Form.
4. The Contact Form is used exclusively for correspondence related to the Service Provider’s Products and Services related to the Sites.
5. In case the User will provide incomplete information, the Service Provider may deny replying for the inquiry, unless the User complete the inquiry.
VIII. THE GENERAL PROVISIONS REGARDING PRODUCTS AND PRICES
1. Information about the Products posted in the Shop, particularly their descriptions, technical and utility parameters and Prices, do not constitute a sales offer, it is invitation to conclude the Sale Agreement.
2. All Products available in the Shop are brand new and free from physical and legal defects.
3. The Store may have quantitative restrictions on the number of pieces of a given Product that the same Customer can order as part of one or more Orders on one day. Information about such limits is visible when placing an Order. If the limit is exceeded, placing an Order will not be possible. In such a case, the number of ordered Products in the shopping cart should be reduced.
4. The Prices given in the Shop next to the Product are indicated as the Net Price or as the Gross Price, depending on the User’s status.
5. The Prices are given in Euro or converted to another currency if applicable on specific market. Additional Fees (if applicable) are not included.
IX. PLACING ORDERS
1. The Order may be placed by the Customer after logging into the Account or using the Order without logging in option.
2. Orders can be placed around the clock, 7 days a week.
3. The total Order price is the price of the Product with taxes + delivery cost (if applicable).
4. The total Order price visible in cart does include Additional costs e.g. costs of duties, taxes, tariffs or fees that the buyer may be obliged to bear according to Applicable Law due to delivery of Products purchased in the Shop to the territories outside the European Union.
5. In case of placing the Order by the User being an Entrepreneur with the seat within the territory of European Union, who filled in – in the Order form or in the Account – the VAT EU Number, the VAT EU Number is verified by VIES on each stage of placing the Order and the User is informed about the result of this verification at latest in the moment of selecting the option “Order and Pay”. Purchasing by this User of Products for the Net Retail Price/Net Member Price (VAT 0%) is possible only in case of positive verification of the User’s VAT EU Number by VIES.
6. Additional Fees – if applicable – are calculated in Cart on the basis of the Sales Agreement and country of delivery destination.
7. The Order is placed by the Customer to the Seller in electronic form after expressing the mandatory consents and submitting the mandatory declarations, including by clicking the "Order and pay" field.
8. The Order placed constitutes an offer to conclude a Sales Agreement for the ordered Products.
9. If after placing the Order it turns out that the ordered Products are completely or partially unavailable, the Seller will inform the Customer about this electronically (e-mail) as soon as possible. In such a case, the Customer may, at their discretion, cancel the Order without incurring any costs or agree to extend the Order fulfillment period. Due to the cancellation of the Order, the Customer's account will not be debited with payment for the Order, and if payment for the Order has already been made, it will be immediately refunded to the Customer.
10. The Order binds the Customer if the Seller sends a confirmation of the Order to the e-mail address provided by the Customer. Upon receipt of confirmation of the Order by the Customer, the Sales Agreement is concluded.
11. The confirming e-mail contains, among others, information about the buyer's data, the Product and payment information.
12. After making the payment and its correct booking, the Customer receives the information referred to in sec. 11 above.
13. These T&C – in the wording in force at the time of placing the Order by the User – are integral part of each Sales Agreement concluded in the Shop.
X. PAYMENT FOR ORDERS
The payment of the Price can be made through the operator of electronic payments– on-line authorization – payment after completing the process of placing the Order. The payment is done under terms and conditions of respective operator.
XI. DELIVERIES
1. All deliveries among EU and United States are free of charge.
2. For deliveries to countries outside the areas where free shipping applies, a flat delivery fee of 50 EUR will be charged. This fee will be clearly displayed before finalizing your order.
3. The purchased Products are delivered only via the Seller’s chosen courier service.
4. The Products are delivered usually within 7 Business days (depending from the day of the payment acceptance by the electronic payments’ operator, unless a different delivery date is indicated in the Shop. If the Order includes Products with different delivery dates, the delivery is made within the longest delivery date.
5. The Products are delivered according to Terms and Conditions of given courier service.
6. The Customer confirms receipt of the delivery on the consignment note. Before confirming the receipt of the shipment, the Customer should check that the shipment has not been damaged, and then sign the waybill. It is also recommended to check the content of the shipment. In the event of damage to the Products or any quantitative discrepancy of the shipment, the Customer should write a damage report in the presence of the courier, which is not a condition for submitting a complaint or exercising the right to withdraw from the Sales Agreement.
7. Together with the Order, the Customer receives from the Seller all required documents, including the warranty card (if applicable), and proof of purchase.
XII. RETURNS
RIGHT OF WITHDRAWAL
A Consumer has the right to withdraw from a distance Sales Agreement without giving any reason within 14 calendar days from the day on which the Consumer or a third party indicated by the Consumer takes possession of the Product.
1. To exercise the right of withdrawal, the Consumer must inform the Seller of the decision to withdraw by means of a clear statement (e.g. email to support@hyperlightoptics.com or shop@hyperlightoptics.com – US customers only)
2. If the Customer chose a delivery method other than the cheapest standard delivery offered by the Seller, the Seller is not obliged to reimburse additional delivery costs.
3. The direct cost of returning the Product in connection with the exercise of the right of withdrawal shall be borne by the Consumer.
4. The Seller shall reimburse all payments received from the Consumer without undue delay and in any event no later than 14 calendar days from the day on which the Seller is informed of the Consumer’s decision to withdraw from the Sales Agreement. The Seller may withhold reimbursement until the Products are received back or until the Consumer has supplied evidence of having sent back the Products.
5. The right of withdrawal does not apply to contracts for the supply of non-prefabricated goods or goods made to the Consumer’s specifications or clearly personalized.
6. Hyperlight Lenses are treated as personalized Products only where they have been cut, mounted or modified according to the individual parameters of the Customer. Unused, uncut and unmounted lenses in original packaging remain eligible for return.
XVI. LIABILITY
1. Zepter INTL Poland makes every effort to ensure that the use of Services provided in the Sites is safe for Users, including uninterrupted operations.
2. Nothing in these T&C excludes or limits liability for damages caused intentionally or liability that cannot be excluded under mandatory provisions of law.
3. Consumer rights arising from mandatory statutory provisions remain unaffected.
4. Zepter INTL Poland shall not be liable for damage resulting from the User's act or omission, including improper use of the Services, to the extent permitted by Applicable Law.
XXI. FINAL PROVISIONS
1. These T&C are governed by the law of the Republic of Poland. This choice of law does not deprive Consumers or Entrepreneurs with consumer rights of protections afforded to them by mandatory provisions of the law of their habitual residence.
2. Consumers may use out-of-court complaint and redress mechanisms, including the EU ODR platform available at https://ec.europa.eu/consumers/odr/.
US LEGAL ADDENDUM (APPLICABLE TO U.S. CUSTOMERS ONLY)
1. Governing Law: State of New York, excluding conflict-of-law rules.
2. Returns (USA): Non-customized products may be returned within 14 days unless clearly marked "ALL SALES FINAL" prior to purchase.
3. Warranties (USA): Implied warranties are limited to the maximum extent permitted by applicable law, in accordance with the Magnuson–Moss Warranty Act.
4. Limitation of Liability (USA): To the maximum extent permitted by law, the Seller shall not be liable for indirect, incidental or consequential damages.
5. Privacy Rights (California): California residents may exercise their rights under CCPA/CPRA by contacting support@hyperlightoptics.com.

XII. RETURNS
1. Customers may return eyewear within 14 days from the date of purchase.
2. Returned items must be in their original condition, unworn, undamaged, and accompanied by all original packaging materials, including cases, cleaning cloths, and any accessories.
3. A valid receipt or proof of purchase is required for all returns.

5. If the Customer, placing the Order, chose a method of delivery of the Product other than the cheapest usual delivery method offered by the Seller, the Seller is not obliged to reimburse the Customer for additional costs incurred by them.
6. The direct costs of returning of the Product in connection with the exercise of the right to withdraw from the Sales Agreement shall be borne by the Customer, including the costs of return in the event that the Product, due to its nature, cannot be sent back by post in the usual way, i.e. when the cost of sending back is higher than a regular postal parcel.
7. Approved returns will be refunded to the original payment method within 15 business days after we receive and process the returned item.
8. The Customer is not entitled to withdraw from the Sales Agreement (as a distance Agreement) in the following cases: when the purchased Product is non-prefabricated but manufactured according to the Customer's specifications or the Product used to meet the Customer’s individualized needs (personalized Products).
9. Hyperlight Lenses are treated as personalized Products
Due to the customized nature of lens fitting and installation, these products are not eligible for return or exchange once they have been mounted into eyeglass frames — regardless of whether the installation was carried out by the customer, an optician, or any third party.
Returns are only accepted for lenses that are unused, uncut, and unmounted, and which remain in their original, undamaged packaging.
Online Withdrawal Function (Right of Withdrawal)
Customers located in the European Union have the right to withdraw from the purchase within 14 days without giving any reason, in accordance with applicable EU consumer protection regulations.
Withdrawal period
The withdrawal period expires 14 days after the day on which the customer, or a third party indicated by the customer (other than the carrier), acquires physical possession of the goods.
How to exercise the right of withdrawal
Customers may exercise their right of withdrawal by submitting a request via the online withdrawal function available on our website.
The withdrawal function can be accessed via the footer section of the website.
Confirmation of withdrawal
Upon successful submission of a withdrawal request, the customer will receive an email confirmation acknowledging receipt of the withdrawal, including a reference number.
Effects of withdrawal
If the customer withdraws from the contract, we will reimburse all payments received from the customer, including delivery costs (except for additional costs resulting from the customer's choice of a delivery method other than the least expensive standard delivery offered), without undue delay and in any event not later than 14 days from the day on which we are informed about the withdrawal decision.
Reimbursement will be carried out using the same means of payment as used for the initial transaction, unless expressly agreed otherwise.
We may withhold reimbursement until we have received the goods back or until the customer has supplied evidence of having sent back the goods, whichever is earlier.
XIII. COPYRIGHTS
1. The Service and its contents, including the rights to the logo and the name of the Service, all materials, including textual and graphic elements, photos, Zepter INTL Poland databases and individual services, among others such as forms, scripts, belong to Zepter INTL Poland and are subject to legal protection or belong to other entities, whose materials, on the basis of cooperation with Zepter INTL Poland, are made available as part of the Services offered to Users.
2. The User has got the right to use the content contained on the Service and the services provided within the Service under the conditions specified in these T&C exclusively.
3. Any use of the logo and/or name of the Service as well as of Zepter INTL Poland is prohibited, apart from the exceptions provided for in Applicable Law.
XIV. PROHIBITED USE OF THE SERVICE
1. Cases of unauthorized and prohibited use of the Service by the Users include, among others:
1) infringement of proprietary copyrights of Zepter INTL Poland or entities authorized under these rights,
2) violation of personals rights (such as good name) of others with the use of the Service,
3) unauthorized interference with any element of the Service, in particular disrupting the functioning of services, using malware.
2. If Zepter INTL Poland discovers that the User uses any services provided by Zepter INTL Poland as part of the Service contrary to the provisions of these T&C, Zepter INTL Poland has got the right to block the User's access to data provided by Zepter INTL Poland, under the conditions indicated below, depending on the circumstances.
3. Zepter INTL is Poland entitled to block the User from accessing the services provided by Zepter INTL Poland without the User’s consent, after calling such User to cease the infringement and setting at least 7 days, depending in particular on the nature and seriousness of the breach and the possibility of damage on the part of Zepter INTL Poland or any third parties, in the following circumstances caused by an act or omission of the User:
1) providing someone else's, false or outdated data,
2) use the Service in a manner that violates the provisions of generally applicable law or the rights of third parties, principles of social coexistence or decency,
3) gross non-compliance with the provisions of these T&C
4. Zepter INTL Poland has got the right to terminate the Agreement with immediate effect in the event of a breach of these T&C by the User and if the User – despite the summons referred to above – does not cease the violations as requested by the Seller.
5. The User violating the provisions of these T&C is liable for damages towards Zepter INTL Poland as well as to third parties.
XV. TERMINATION OF SERVICES
1. The User and Zepter INTL Poland may terminate the Agreement at any time and without any reason, preserving the rights acquired by the other party before the termination and taking into account the following provisions.
2.The registered User terminates, for example, the Agreement regarding the Account by sending Zepter INTL Poland a statement of termination, e.g. by e-mail, enabling Zepter INTL Poland to read the statement.
3. Zepter INTL Poland terminates the Agreement by sending an appropriate statement to the User to the e-mail address provided by the User during registration. The statement of termination regarding the Account will be sent within 14 days before the planned date of removal of the Account by Zepter INTL Poland.
4. Zepter INTL Poland has got the right to terminate the Agreement with immediate effect in the event of a breach of these T&C by the User and if the User – despite being summoned to cease – does not stop violations as requested by the Seller.
XVI. LIABILITY
1. Zepter INTL Poland makes every effort to ensure that the use of Services provided in the Sites is safe for Users, including uninterrupted operations.
2. If it is necessary to carry out maintenance works or other necessary improvements that may hinder the User's access to the Service, Zepter INTL Poland will inform Users about this, indicating the approximate time of lasting of such difficulties.
3.Zepter INTL Poland is not responsible for damage resulting from improper operation of any Services in the Service resulting from force majeure, i.e. circumstances beyond Zepter INTL Poland's control, the occurrence of which could not have been predicted even with due diligence.
4. Zepter INTL Poland shall not be liable for damage resulting from the User's act or omission, which occurs, among other things, as a result of improper use of services offered by Zepter INTL Poland, including use contrary to the law or these T&C.
XVIII. COMPLAINTS:
XVIII.1 GENERAL PROVISIONS
1. In order to facilitate and speed up the processing of the complaint by the Service Provider, the User should provide:
1) contact details,
2) type and description of the problem,
3) in the case of complaints concerning Products – the name of the Products, the date of purchase, a detailed description of the defect and the date of its discovery, Order details,
4) evidence confirming the circumstances indicated in the complaint – copies, scans, photos of documents: e.g. sales document, confirmation of online payment, Order, e-mail, photos;
5) request, as well as the Customer's preferred method of being informed about the method of handling the complaint.
2. Submitting a complaint contrary to paragraph 1 above does not affect its effectiveness.
XVIII.2 COMPLAINTS REGARDING THE FUNCTIONING OF THE SITES
1. The User who notices a malfunction or lack of operation of the Sites is requested to immediately inform Zepter INTL Poland about this e.g. by e-mail to the address Zepter INTL Poland indicated in these T&C for contact, in order to enable Zepter INTL Poland to take adequate diagnostic and corrective actions as soon as possible.
2. All complaints regarding the functioning of the Sites will be responded as soon as possible, up to a maximum of 14 days from the date of their receipt by Zepter INTL Poland e.g., and the User will be notified of the actions taken by Zepter INTL Poland as a result of the complaint, via the communication channel indicated by the User, and in the absence of such indication – in the same way in which the complaint was submitted.
XVIII.3 COMPLAINTS RELATED TO PAYMENTS
1. Complaints regarding failures related to payments are considered by the payment operator.
2. Detailed information on the complaint procedures used by the payment operator is provided by this entity.
XVIII.4 DELIVERY-RELATED COMPLAINTS
1. A complaint regarding failures related to delivery may be submitted in the case of delivery via a courier (transport) company – at your discretion – to the entity providing the courier (transport) service or to the Seller.
2. The entity providing the postal or courier (transport) service shall consider complaints in accordance with the rules applicable to that entity. Information on the complaint procedures used by the entity providing the courier (transport) service is provided by that entity.
3. All complaints submitted to Zepter INTL Poland will be responded as soon as possible, up to a maximum of 14 days from the date of their receipt by Zepter INTL Poland e.g., and the User will be notified of the actions taken by Zepter INTL Poland as a result of the complaint, via the communication channel indicated by the User, and in the absence of such indication – in the same way in which the complaint was submitted.
XVIII.5 PRODUCT-RELATED COMPLAINTS:
XVIII.5.1 STATUTORY WARRANTY
1. If the Applicable Law provides statutory warranty on the Product, the Customer, is entitled to submit the complaint based on statutory warranty and the Seller is obliged to process it according to Applicable Law.
2. In order to speed up of processing the complaint, is advised to indicate in the complaint if he prefers to submit it under statutory or contractual warranty.

XVIII.5.2 CONTRACTUAL WARRANTY
1. The Seller (Guarantor) provides a contractual warranty under which the Seller ensures the appropriate quality and proper functioning of the Products sold by the Seller. The terms and conditions of warranty are included in Zepter Warranty.
2. Contractual warranty complaints may be submitted in any form, e.g. by phone at the Customer Service Office number or in electronic form to the e-mail address support@hyperlightoptics.com or shop@hyperlightoptics.com (US only)
3. The Seller provides a guarantee for damage to its products resulting from material or manufacturing defects reported within two years of the date of delivery of the products, provided that Zepter Int Poland is notified of such defects within two months of their discovery.
4. Scratches on the lenses are a normal consequence of use and are not covered by the guarantee, unless the Customer can prove that such a defect already existed at the time of delivery.
5. The guarantee also does not cover mechanical damage resulting from use, including, among others, loss of screws, broken frames, damage resulting from falling glasses; crushing the glasses; improper use and handling of the glasses.
6. The guarantee of conformity of the goods with the contract provided for in the law for the buyer who is a consumer applies without restrictions.
XIX. AMENDING THE TERMS AND CONDITIONS
1. Zepter INTL Poland is entitled to change the provisions of these T&C in order to take into account changes in Applicable law, changes in the functionalities offered in the Service, introduction of new services in the Sites, clarification of issues that raise doubts of Users.
2. Change of the provisions of these T&C will not lead to loss of User’s rights, if such rights were previously acquired in accordance with law.
3. The amendment to these T&C is effective after 7 days from the date of publication of information about the planned change on the main page of the Sites. Zepter INTL Poland informs registered Users about the planned amendment to these T&C also by e-mail at least 7 days before such amendment enters into force. The User who does not accept the amendment to these T&C notifies Zepter INTL Poland about it by e-mail to the following address: support@hyperlightoptics.com, which is considered as termination of the Agreement including the Account, by the User, and the User is obliged to stop using the Sites.
4. There will be no need to make changes to these T&C in the event of, among other things, changing the form and/or nature of running the Sites, in particular change of the graphic design of the Service, adding new functionalities, etc., unless such changes are contrary to the provisions of these T&C or include the loss of rights acquired by Users.

XXI. FINAL PROVISIONS
1. Any disputes arising in connection with the use of the Service or the application of these T&C, if the parties are Entrepreneurs, will be settled amicably in the first place, through appropriate negotiations. If the parties fail to reach an agreement, the dispute between them shall be settled by the Polish common court competent for the registered office of Zepter INTL Poland.
2. The User being a Consumer may use non-judicial ways of dealing with complaints and pursuing claims such as: the online ODR platform for online dispute resolution available at: http://ec.europa.eu/consumers/odr/. Information about other non-judicial procedures is available in the seats and on the websites of regional and European institutions of protecting consumers and social organizations which statutory task is to protect consumers.
3. In case of Clients of a Consumer status domiciled in Poland information is available in premises and on websites of district (municipal) Consumer ombudsmen, social organizations which statutory tasks include protection of Consumer rights, the Provincial Inspectorates of the Trade Inspection and the following Internet website of the Office of Competition and Consumer Protection: https://www.uokik.gov.pl/pozasadowe_rozwiazywanie_sporow_konsumenckich.php;
4. These T&C are subject to the provisions of law in force on the territory of the Republic of Poland. The above indicated choice of law applies to Entrepreneurs, and regarding the Consumers or Entrepreneurs with consumer rights - such a choice may not, however, have the result of depriving the Consumer or Entrepreneur with consumer rights of the protection afforded to them by provisions that cannot be derogated from by agreement by virtue of the law of the country, where the Consumer has got the habitual residence or where the Entrepreneur with consumer rights has got his seat, if such law, in the absence of the above choice of law, would have been applicable.
